PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Ecoally platform, you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you may not use our services.
These Terms of Service ("Terms") govern your access to and use of the Ecoally platform, including our website, design tools, ordering system, and related services (collectively, the "Service"), operated by Ecoally Limited ("Ecoally," "we," "us," or "our").
1. Acceptance of Terms
By creating an account, placing an order, or otherwise using the Service, you confirm that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organization.
Ecoally reserves the right to modify these Terms at any time, at its sole discretion. The "Last updated" date will reflect any changes. Your continued use of the Service after modifications constitutes your acceptance of the updated Terms. For material changes to these Terms, we will provide at least 30 days' prior notice via email to the address associated with your account before such changes take effect.
2. Use of Service
You are solely responsible for all activity that occurs under your account. You must maintain the confidentiality of your login credentials and notify us immediately of any unauthorized use.
Ecoally reserves the right to suspend or permanently terminate your account at any time, with or without cause and without prior notice, including but not limited to:
- ·Violation of these Terms or any applicable law
- ·Uploading infringing, offensive, or unlawful content
- ·Fraudulent, abusive, or disruptive conduct
- ·Any conduct that Ecoally, in its sole discretion, determines to be harmful to the platform, its users, or partners
Upon termination, your right to use the Service immediately ceases. Ecoally is not liable for any loss resulting from account termination.
3. Custom Orders & Products
Order Finality: All custom packaging orders are considered final and non-cancellable once the order has been confirmed and payment has been processed. By placing an order, you acknowledge that production will commence immediately and that no cancellation or modification is permitted after order confirmation.
Design Responsibility: You are solely responsible for the accuracy, legality, and quality of all design content you upload or create. Ecoally does not review design content for trademark, copyright, or other intellectual property compliance prior to production. Any costs arising from infringing designs are your sole responsibility.
Proofing: Digital previews and 3D renderings are approximate representations only. Actual product colors, textures, and dimensions may vary due to manufacturing tolerances, material properties, and display differences. Such variations do not constitute defects.
Minimum Order Quantities: Products are subject to minimum order quantities (MOQ) as specified on each product page. Orders below the applicable MOQ will not be processed.
4. Pricing & Payment
Price Changes: Ecoally reserves the right to modify prices, fees, and charges at any time without prior notice. Price changes will not affect orders already confirmed and paid.
Quotation Validity: Any price quotation generated through our platform is valid for a maximum of 7 calendar days from the date of generation, unless otherwise stated. Expired quotations require re-submission and may be subject to revised pricing.
Payment Terms: Full payment is required at the time of order placement unless a separate written credit arrangement has been agreed upon. Orders for which payment is not received within 24 hours of placement will be automatically cancelled.
Taxes: All prices are exclusive of applicable taxes, duties, and import fees. You are responsible for all such charges applicable to your order.
5. Production & Lead Times
Production lead times displayed on our platform are estimates only and do not constitute a binding commitment or guarantee of delivery by any specific date. Actual production times may vary due to order volume, material availability, quality control requirements, or other factors beyond our reasonable control.
Ecoally shall not be liable for any delays in production or delivery, including but not limited to delays caused by supply chain disruptions, raw material shortages, manufacturing capacity constraints, force majeure events, or actions of third-party suppliers.
Expedited production may be available at additional cost and is subject to supplier availability, and is not guaranteed.
6. Shipping & Delivery
Risk of Loss: Risk of loss and title to goods passes to you upon delivery of the goods to the carrier. Ecoally is not responsible for loss, damage, delay, or misdelivery caused by the carrier.
Shipping Claims: Any claims for goods lost or damaged in transit must be filed directly with the carrier. Ecoally will provide reasonable assistance in documenting such claims but bears no financial responsibility for carrier-caused losses.
Shipping Estimates: Estimated delivery dates are provided for reference only. Ecoally is not liable for any losses arising from delayed shipment or delivery.
7. Returns & Refunds
No Returns on Custom Products
All custom-printed and custom-manufactured packaging products are made to order and are non-returnable and non-refundable under any circumstances, except as expressly set forth below.
Defective Products: If products arrive with a verified manufacturing defect (meaning a defect arising from our production process, not from your design, artwork, or specifications), you must notify us in writing at info@ecoallypackaging.com within 7 calendar days of delivery, with photographic evidence.
Remedy: Upon verification of a manufacturing defect, Ecoally's sole obligation, at its discretion, shall be to either: (a) reprint and reship the defective portion of the order, or (b) issue a partial credit to your account. Refunds to original payment method are not guaranteed and are issued only at Ecoally's sole discretion.
The following are expressly excluded from defect claims: color variations within industry-standard tolerances, minor dimensional variations, issues arising from your design files (resolution, bleed, color profile), or damage caused during shipping.
8. Intellectual Property
Your Content: You retain ownership of original design content you create and upload. By submitting design content to Ecoally, you grant Ecoally and its manufacturing partners a non-exclusive, worldwide, royalty-free license to use, reproduce, and process such content solely for the purpose of fulfilling your order. Without your separate prior written consent, we will not use your design content, uploaded artwork, or brand assets for marketing materials, case studies, portfolio displays, or any purpose beyond fulfilling your specific order.
Ecoally's Property: All platform software, interface designs, 3D models, templates, design tools, and content created by Ecoally are the exclusive property of Ecoally and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of our platform.
Your Warranty: You represent and warrant that you own or have all necessary rights to any content you submit, and that such content does not infringe upon the intellectual property rights, privacy rights, or other rights of any third party. You are solely liable for any third-party claims arising from your content.
9. Disclaimer of Warranties
The service is provided on an "as is" and "as available" basis without warranties of any kind.
To the fullest extent permitted by applicable law, Ecoally expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to: implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability of the service.
Ecoally does not warrant that the service will be error-free, that defects will be corrected, or that the platform is free of viruses or other harmful components.
10. Limitation of Liability
To the maximum extent permitted by law, Ecoally's aggregate liability is strictly limited.
In no event shall Ecoally, its directors, employees, suppliers, or partners be liable for any: (a) indirect, incidental, special, consequential, or punitive damages; (b) loss of profits, revenue, data, business opportunities, or goodwill; (c) damages arising from reliance on the service or inability to use the service — even if Ecoally has been advised of the possibility of such damages.
Ecoally's total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount you actually paid to Ecoally for the specific order giving rise to the claim in the twelve (12) months preceding the claim.
Notwithstanding the foregoing, the limitations set forth in this section shall not apply to liability arising from Ecoally's gross negligence, willful misconduct, or intentional fraud.
11. Indemnification
You agree to defend, indemnify, and hold harmless Ecoally, its affiliates, officers, directors, employees, agents, suppliers, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your design content, including any intellectual property infringement claims; or (d) your violation of any applicable law or regulation.
12. Governing Law & Dispute Resolution
Governing Law: These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles.
Jurisdiction: Any dispute, controversy, or claim arising out of or relating to these Terms of Service shall be submitted to the exclusive jurisdiction of the competent courts in Hong Kong.
13. Disputed Orders
If an order is subject to a good-faith dispute regarding payment, design accuracy, or production quality, Ecoally reserves the right to temporarily suspend order fulfillment pending resolution. Any applicable production lead times will be extended accordingly for the duration of the dispute period. Ecoally will make reasonable efforts to resolve disputes within 10 business days of receiving written notice.
14. Service Interruptions
Ecoally does not guarantee uninterrupted access to the platform. We may temporarily suspend the Service for maintenance, upgrades, or reasons beyond our reasonable control, including force majeure events such as natural disasters, cyberattacks, or infrastructure failures. Ecoally shall not be liable for any indirect or consequential losses arising from such interruptions, but will endeavor to provide advance notice where reasonably practicable.
15. Anti-Fraud & Compliance
Ecoally reserves the right to refuse, suspend, or cancel any order that we reasonably believe is associated with fraudulent activity, money laundering, sanctions violations, or any other unlawful conduct. In such cases, we may report relevant information to applicable law enforcement or regulatory authorities. No refund obligation arises from cancellations made under this section.
